Terms of Service

Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the MemX mobile application (the “App”) operated by Neural Forge Technologies LLP (“we”, “us”, or “our”).

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the App.

1. Acceptance of Terms

By creating an account or using the App, you confirm that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

MemX is an AI-powered personal memory assistant that allows users to store, organize, and retrieve information including text, images, documents, and audio. The App uses artificial intelligence to help users search and interact with their stored content.

3. User Accounts

3.1 Account Creation

To use certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, without prior notice or liability.

4. User Content

4.1 Your Content

You retain ownership of all content you upload, store, or create through the App (“User Content”). By using the App, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the App.

4.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to use and authorize use of your User Content
• Your User Content does not violate any third party's intellectual property, privacy, or other rights
• Your User Content does not contain any unlawful, harmful, or objectionable material

4.3 AI Processing

You acknowledge and agree that your User Content may be processed by artificial intelligence and machine learning systems to provide the App's features. We may use anonymized and aggregated data derived from User Content to improve our AI models and services.

5. Prohibited Uses

You agree not to use the App to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App or servers
• Use the App for any illegal or unauthorized purpose
• Reverse engineer, decompile, or disassemble any part of the App
• Use automated means to access the App without our permission
• Store or transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable

6. Intellectual Property

The App, including its original content, features, and functionality, is owned by Neural Forge Technologies LLP and is protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

7. Third-Party Services

The App may contain links to or integrate with third-party websites, services, or applications. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

8. Disclaimer of Warranties

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The App will function uninterrupted, secure, or error-free
• The results obtained from the App will be accurate or reliable
• Any errors in the App will be corrected
• The App will meet your specific requirements

AI-generated responses and content analysis may contain errors, inaccuracies, or omissions. You should not rely solely on the App for critical decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEURAL FORGE TECHNOLOGIES LLP, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the App
• Any conduct or content of any third party on the App
• Any content obtained from the App
• Unauthorized access, use, or alteration of your transmissions or content
• Loss or corruption of your User Content
• Errors, inaccuracies, or omissions in AI-generated responses

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Neural Forge Technologies LLP and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third party rights
• Your User Content

11. Data and Backups

While we implement measures to protect your data, you acknowledge that:

• We are not responsible for any loss or corruption of User Content
• You are responsible for maintaining your own backups of important data
• Service interruptions may occur and we are not liable for any resulting data loss

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the App after any changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, India.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neural Forge Technologies LLP regarding the App and supersede any prior agreements.
